Orchid & Pine Studio — Workshop Policies & Participant Agreement

Workshop Title: Floral Portrait Workshop 

Location: Redwood & Ranunculus, 6257 Highway 9, Downtown Felton 

Hosted by: Orchid & Pine Studio (“Company”)

1. Parties to Agreement 

This agreement (“Agreement”) is entered into between Orchid & Pine Studio (“Company”) and the registered workshop participant(“Participant” or “you”). By purchasing a ticket for the Floral Portrait Workshop “Workshop”) or participating in the Workshop, you agree to the terms of this Agreement, 

2. Scope of Workshop 

The Workshop includes guided instruction by Company, all materials required to create one completed floral portrait, and light refreshments (if applicable). The Workshop date, time, and location are as listed at registration. Transportation, meals, or additional accommodations are not included unless otherwise noted. 

3. Fees 

The Workshop fee is payable in full at the time of registration unless a payment plan has been arranged with Company. All payments are non-refundable, but tickets may be transferred to another individual (see Section 4). Prices are listed in U.S. Dollars and may include applicable sales tax. 

4. Reservation Fee & Cancellation by Participant/Attendee 

Your seat is secured once full payment (or initial payment plan installment, as applicable) has been received. If you are unable to attend, you may transfer your ticket to another person by notifying Company no later than 48 hours before the Workshop.. No refunds or credits will be issued for no-shows, partial attendance, or attempted cancellations less than 48 hours before the Workshop. 

5. Duty of Company & Cancellation of Services

The Company reserves the right to modify, reschedule, or cancel the Workshop for any reason, including insufficient enrollment or unforeseen circumstances. In such cases, Participants will be offered a full refund or credit toward a future event. 

6. Duty of Participants

Participants are expected to behave respectfully toward the instructor, other Workshop participants, and the host venue. Disruptive or inappropriate behavior will not be tolerated and may result in removal from the Workshop without refund. 

7. Intellectual Property

All materials, creative techniques, and intellectual property shared by the Company during the Workshop are the property of the Company (“Company IP”) and are intended for personal, non-commercial use only. Participants may not reproduce, distribute, or teach the Company IP without prior written consent from the Company. 

8. Model Release 

By attending the Workshop, you grant the Company permission to photograph or film during the Workshop and to use your image, likeness, or creative work for marketing, website, and social media purposes. You will not receive compensation for such use. 

9. Bonuses 

Occasionally, special offers, discounts, or bonuses may be extended to Workshop participants. These are provided at the Company’s sole discretion and may be altered or discontinued without notice. 

10. Communication 

We encourage open and kind communication about the Company’s Workshop. Any questions or concerns should be directed to hello@orchidandpinestudio.com before, during, or after the Workshop. 

11. No Guarantees

Participation in the Workshop does not guarantee any specific outcome, result, or personal transformation. Every participant’s experience is unique. 

12. Release & Reasonable Expectations 

By joining this Workshop, you acknowledge that art and creative experiences are subjective. You release the Company from any expectation of specific results or similar or identical experiences to those of other Workshop participants. 

13. Disclaimer and Assumption of Risk

The Company does not provide legal, financial, or medical advice. Any information shared during the Workshop is for creative and educational purposes only. By participating, you acknowledge and voluntarily assume any and all risks associated with Workshop activities, including but not limited to the use of tools, materials, and natural elements.

14. Medical Treatment 

Participants are responsible for their own health and well-being during the Workshop. In the event of injury or illness, the Company will provide reasonable assistance, but is not responsible for medical costs or outcomes. 

15. Insurance 

Participants are responsible for securing their own personal, travel, or health insurance coverage in relation to the Workshop, if desired. 

16. Harassment & Safe Environment 

The Company maintains a zero-tolerance policy for discrimination, harassment, or unsafe behavior. All Participants are expected to treat others with respect, kindness, and care.

17. Non-Disparagement 

Participants agree not to make false, misleading, or negative public statements about the Company, its team, or other participants during or after the Workshop. 

18. Indemnification 

Participants agree to hold harmless and indemnify the Company, its staff, and the Host venue from any and all claims, liabilities, damages, or expenses arising from participation in the Workshop. 

19. Maximum Damages & Limitation of Liability 

Any claim by the Participant shall be limited to the total cost of their Workshop ticket. In no event shall the Company be liable for consequential, exemplary, or punitive damages. 

20. Force Majeure 

Neither party is responsible for failure to perform under this Agreement due to unforeseen circumstances beyond their control, including natural disasters, war, illness, or government restrictions. 

21. Sales Tax 

Ticket prices for Workshops may include applicable local or state sales tax. 

22. Entire Agreement 

This Agreement represents the full understanding between the Company and Participant and supersedes any prior discussions or agreements. 

23. Venue & Jurisdiction 

This Agreement shall be governed by the laws of the State of California. Any disputes will be resolved in Santa Cruz County, California.

24. Arbitration 

In the event of a dispute, both parties agree to attempt resolution through good faith arbitration before pursuing legal remedies. 

25. Severability & No Waiver 

If any provision of this Agreement is deemed invalid or unenforceable, the remainder of this Agreement shall remain in effect. Failure to enforce a term of this Agreement does not constitute a waiver. 

26. Transfer 

This Agreement is personal to the Participant and may not be transferred without written consent from the Company, provided that, in the event of Participant’s transfer of a Workshop ticket to another individual pursuant to Section 4, that individual’s participation in the Workshop shall be subject to the terms of this Agreement. 

27. Headings 

Headings are for convenience only and do not affect interpretation. 

28. Notification 

All notices and communications to the Company shall be sent to sales@orchidandpinestudio.com. The Company will make reasonable efforts to send any notices and communications to the email address provided by Participant to the Company.

29. Counterparts & Electronic Signatures 

Each party agrees that for the purposes of this Agreement electronic or facsimile signatures are valid and binding.
