Floral Portrait Commission Agreement

Orchid and Pine Studio

This Commission Agreement ("Agreement") is between Orchid and Pine Studio ("Company," "we," "us," or "our") and the customer placing an order for a custom Floral Portrait ("Client," "you," or "your") through our website. By checking the box confirming that you agree to this Commission Agreement and completing your order (the "Order"), you accept and agree to be bound by the terms below.

I. Description of Commissioned Work

Your Floral Portrait (the "Artwork") is a custom piece created according to the options you selected on the order form, which may include frame size, backing, glass, and frame style, together with the flowers or floral elements you specified for your portrait.

If a flower or floral element you specified is unavailable at the time production begins, we will select a comparable substitute of similar quality and style. We will notify you and obtain your approval before proceeding with any substitution.

II. Payment

Full payment is due at checkout. The total price of your Order, as shown in your order confirmation, is charged in full at the time of purchase. There is no deposit, down payment, or balance due — payment is collected in a single transaction when the Order is placed, and no additional payment structure applies.

III. Proofs

Your Order includes two (2) proofs during production:

1. Initial Proof — an early draft image showing the floral arrangement and composition of your portrait.
2. Final Proof — an image of the completed floral portrait, provided for your review before the piece is fitted and framed.

You agree to review and respond to each proof within 5 business days of receipt so that production stays on schedule.

IV. Revisions

Your Order includes up to two (2) rounds of revisions to the floral proof(s) at no additional cost.

Any revisions requested beyond the included rounds will be billed at $45 per additional revision request, charged before work on that revision begins.

Revisions apply to the floral arrangement and composition of the Artwork. Frame size, backing, glass, and frame style are finalized at the time of order and are not part of the revision process.

V. Order Timeline & Cancellation

We begin work on your Floral Portrait within seventy-two (72) hours of your Order being submitted.

Because production begins so quickly, Orders may be canceled only within three (3) days of the original purchase date. After that time, the Order is final and cannot be canceled or refunded, except as otherwise required by applicable law. VI. Communication

You agree to respond to proof approvals, substitution approvals, and other Order-related communications from us within 5 business days.

If we are unable to reach you after 3 attempts, we may pause production, proceed using our best professional judgment on any outstanding decisions (such as flower substitutions or open revision requests), or treat the Artwork as approved in its current form, so that your Order is not delayed indefinitely.

VII. Ownership & Usage Rights

Ownership of the finished Floral Portrait belongs to you upon completion.

We reserve the right to photograph the finished Artwork and use those images for our portfolio, marketing, and educational purposes. We will not share any personal information you provide beyond what is described in our Privacy Policy.

VIII. Limitations & Warranties

Because flowers and other natural materials vary, the exact color, size, shape, and appearance of the flowers used in your Artwork may differ slightly from reference images or prior examples. We do not guarantee an exact match to any reference image and are not liable for indirect, incidental, or consequential damages arising from this Agreement.

IX. Care & Natural Aging of Pressed Flowers

Your Floral Portrait is made with real, pressed botanical material. Pressed flowers are a natural medium, and their appearance will continue to change gradually after your Artwork is completed and delivered.

Display recommendations: for the best long-term appearance, display your Artwork away from direct sunlight and other strong UV sources, and avoid areas with high humidity or moisture, such as bathrooms, kitchens, or exterior walls. A stable, moderate indoor environment out of direct light will help preserve color and detail for as long as possible.

Some fading, color shift, or other natural aging is expected within the first year of display, particularly with sunlight or humidity exposure, and is a normal characteristic of pressed botanical art rather than a defect in your Artwork or in our workmanship. We are not responsible for changes in appearance caused by UV exposure, humidity, moisture, or other display and environmental conditions after the Artwork leaves our studio.

X. Governing Law

This Agreement is governed by the laws of California, without regard to conflict-of-law principles. Any disputes arising from this Agreement will be resolved in the state or federal courts located in Santa Cruz County, California.

XI. Entire Agreement

This Agreement, together with your Order confirmation and our Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Company regarding your Floral Portrait Order.
